  1. Food Depot – Terms & Conditions of Trade
  2. 1. Definitions
  3. “Food Depot”, “we”, “us”, or “our” refers to Food Depot Limited, its employees, and authorised agents. “Customer”,
  4. “you” or “your” means any individual, business, or organisation purchasing goods or services from Food Depot.
  5. “Goods” means all products supplied by Food Depot.
  6. 2. Application of Terms
  7. These Terms & Conditions apply to all sales, whether wholesale or retail (cash & carry). By purchasing goods
  8. from Food Depot, you agree to be bound by these Terms.
  9. 3. Ordering & Supply
  10. All orders are subject to acceptance and availability of stock. Food Depot reserves the right to refuse service or
  11. cancel orders at its discretion. Prices are subject to change without notice.
  12. 4. Payment Terms
  13. For wholesale account customers, payment will be made by direct debit on the Friday following the week of
  14. invoice. For cash & carry purchases, full payment is required at the time of purchase. Food Depot reserves the
  15. right to charge 5% interest on overdue accounts and recover any costs incurred in the collection of outstanding debts. 
  16. And reserve the right to charge a $20 fee for a failed Direct Debit payment.
  17. 5. Title & Risk
  18. Title to goods remains with Food Depot until full payment has been received. Risk in goods passes to the
  19. customer upon collection or delivery.
  20. 6. Returns & Refunds
  21. Credit or return claims must be made within 24 hours of purchase or delivery. Perishable goods are
  22. non-returnable unless faulty or not as described. Non-perishable goods may be returned with proof of purchase,
  23. provided they are unopened and in resaleable condition. Refunds or replacements are at the discretion of Food
  24. Depot and in accordance with the Consumer Guarantees Act 1993.
  25. 7. Liability
  26. Food Depot will not be liable for any loss, damage, or indirect costs arising from the use of goods supplied, except
  27. as required by law. Maximum liability shall not exceed the value of the goods purchased.
  28. 8. Compliance
  29. Customers must comply with all applicable food safety and handling laws when reselling or using our products.
  30. Wholesale customers are responsible for ensuring goods are stored, transported, and sold in compliance with
  31. New Zealand food standards.
  32. 9. Force Majeure
  33. Food Depot shall not be liable for any delay or failure to perform its obligations due to events beyond its
  34. reasonable control (including natural disasters, supply shortages, or transport disruptions).
  35. 10. Governing Law
  36. These Terms are governed by the laws of New Zealand, and both parties submit to the jurisdiction of the New
  37. Zealand courts.
  38. 11. Amendments
  39. Food Depot reserves the right to amend these Terms at any time. Updated Terms will be published on our
  40. website.
